Frequently Asked Questions

Crucial questions on eligibility, compliance, and strategy.

1. Do I need to be a US citizen?

No. You do not need to be a US citizen or a permanent resident. People from anywhere in the world can serve as incorporators and directors of a US 501(c)(3).

2. Can I run the Nonprofit from another country?

Yes. Modern nonprofits operate digitally. You will need a registered agent address in the US for official correspondence (which we can help arrange), but programs can be managed remotely.

3. Can I be the only person on the Board?

In most states, the IRS strongly prefers (and often requires) a Board of Directors with at least 3 distinct individuals to ensure public trust and oversight.

4. Can I pay myself a salary?

Yes. You can pay yourself a **reasonable salary** for the work you actually perform (e.g., Executive Director). Compensation must be for services rendered and at market rates, never a distribution of profit.

5. If the Nonprofit makes a surplus, where does it go?

Any surplus must be **reinvested back into the organization’s mission**. It cannot be distributed to the founders as dividends.

6. Can a nonprofit sell products or services?

Yes. Nonprofits can sell courses or services. If the sales **contribute directly to the mission** (Program Service Revenue), the income is typically tax-exempt.

7. Can I use the Nonprofit to promote my business?

You cannot use nonprofit funds to advertise a private business (this is private benefit). However, your business can be publicly recognized as a **Corporate Sponsor**, which is a legal and common form of recognition.

8. Can my business sell services to the nonprofit?

Yes, but under strict **Conflict of Interest** rules. The nonprofit must prove it paid **fair market value** (or less) and that the deal was beneficial to the mission. Transparency is key.

9. Is the Google Ad Grant ($10k/mo) guaranteed?

No one can guarantee third-party funding. However, we structure your mission and website specifically to meet Google's **eligibility requirements**. We design the foundation to be eligible.

10. How long does the process take?

Structuring and drafting typically takes 2-4 weeks. IRS approval for Form 1023-EZ usually takes another 1-3 months.
