These Terms of Service (“Terms”) govern your use of the website 501c3.help (the “Site”) and any nonprofit document preparation and consulting services provided by IT HUB Service Inc. (“IT HUB”, “we”, “us”, or “our”).

By accessing or using the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or our Services.

If you enter into a separate written Service Agreement with us, that agreement will govern in the event of any conflict with these Terms.

1. Who We Are

We provide nonprofit document preparation and consulting services, including support with nonprofit formation, mission structuring, and related educational and administrative frameworks. We are not a law firm and do not provide legal, tax, or financial advice.

2. Eligibility

By using the Site or Services, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction); and
  • You have the authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

If you use the Services on behalf of a company or organization, “you” includes that entity, and you represent that you are authorized to bind that entity to these Terms.

3. Description of Services

Through the Site and related communication channels, IT HUB may provide, among other things:

  • Nonprofit project discovery and consultation
  • Drafting of organizational structures, missions, and educational programs
  • Preparation of supporting documents related to nonprofit registration and operations
  • Guidance on how to independently apply for various registrations and third-party programs (such as Google for Nonprofits or Google Ad Grants), where applicable

Our Services may evolve over time, and we may modify or discontinue certain features at our discretion.

4. No Legal, Tax, or Financial Advice

All information, materials, and Services provided by IT HUB are for informational and educational purposes only.

  • We are not a law firm, and our staff are not acting as your attorneys or tax advisors.
  • No attorney–client, tax advisor–client, or fiduciary relationship is created by using the Site or our Services.
  • You are solely responsible for consulting with qualified legal, tax, and financial professionals regarding your specific situation before making decisions or filing any documents.

Any decisions you make based on information from the Site or Services are made at your own risk.

5. Relationship to Service Agreement

In many cases, our Services will be governed by a separate Service Agreement that describes, among other things:

  • Project scope and deliverables
  • Payment terms and schedule
  • Timeline and responsibilities of each party

Where you have signed such a Service Agreement:

  • That agreement will apply to your specific project.
  • If there is any conflict between these general Terms and your Service Agreement, the Service Agreement will control for that project.

If you use the Site only for informational purposes and do not sign a Service Agreement, these Terms (together with our Privacy Policy) will govern your use of the Site.

6. Your Responsibilities

You agree to:

Provide accurate information
  • You will provide true, complete, and accurate information about yourself, your business, and your nonprofit project.
  • You will promptly update us if any information changes.

Review and approve drafts
  • You are responsible for carefully reviewing all drafts, documents, and materials prepared by IT HUB.
  • You must confirm that all information is accurate, complete, and appropriate for your intended use before you sign or submit anything to government agencies, grant platforms, or third parties.

Maintain your own accounts
  • You are responsible for creating and managing your own accounts (for example, with the IRS, state agencies, Google for Nonprofits, Google Ad Grants, or other platforms).
  • Where we assist with preparation of materials, you remain responsible for the final submission and for compliance with each platform’s rules.

Comply with laws and third-party policies
  • You will comply with all applicable laws, regulations, and third-party terms and conditions that apply to your nonprofit, your business activities, and your use of our Services.

7. Fees, Payments, and Refunds

Where fees apply, they will be outlined:

On the Site, and/or

In a written Service Agreement or proposal sent to you.

Unless expressly stated otherwise:

Fees are quoted in U.S. dollars (USD).

Payment terms, installment plans, and any refund eligibility are defined in the relevant invoice, proposal, or Service Agreement.

You are responsible for any bank or payment processing fees.

In general, because our Services involve customized preparation work, amounts paid for completed or ongoing work are non-refundable, except as explicitly provided in the applicable Service Agreement or required by law.

We reserve the right to suspend or discontinue work if payments are not made when due.

8. No Guarantees of Outcomes

While we strive to provide high-quality services, you acknowledge and agree that:

IT HUB cannot guarantee that any specific application, filing, or request (including but not limited to 501(c)(3) recognition, state registrations, or Google Ad Grants) will be approved.

Approval decisions are made by independent third parties (such as the IRS, state authorities, or Google) based on their own criteria and policies, which may change at any time.

Any examples of past client outcomes are provided for illustration only and do not guarantee similar results for you.

9. Intellectual Property
9.1 Our Content

All content on the Site, including text, graphics, logos, designs, and other materials, as well as templates and structures created by IT HUB as part of our Services (collectively, the “Content”), is owned by or licensed to IT HUB and is protected by intellectual property laws.

Subject to these Terms and any applicable Service Agreement, we grant you a limited, non-exclusive, non-transferable license to:

Access and use the Site for your own internal, non-commercial purposes; and

Use the documents and materials we prepare specifically for your nonprofit project for your internal operations and filings.

You may not reproduce, distribute, modify, or create derivative works from our Content, except as reasonably necessary to file or operate your own nonprofit or associated business as intended.

9.2 Your Content

You retain ownership of all information, documents, and materials you provide to us (“Your Content”). You grant IT HUB a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify Your Content solely as necessary to provide the Services to you.

You represent and warrant that you have all necessary rights to provide Your Content and that its use by us will not infringe or violate any third-party rights.

10. Use of the Site

You agree not to:

Use the Site or Services for any unlawful, fraudulent, or abusive purpose.

Attempt to gain unauthorized access to any systems or networks connected to the Site.

Interfere with the proper functioning of the Site (for example, by introducing malware, conducting denial-of-service attacks, or scraping without permission).

Misrepresent your identity or affiliation with any person or organization.

We may, in our sole discretion, restrict or terminate your access to the Site or Services for violation of these Terms or for any behavior that we consider harmful, unlawful, or inappropriate.

11. Third-Party Services and Links

The Site and our Services may reference or link to third-party websites, services, or platforms (for example, government portals, grant platforms, payment processors, email tools, etc.).

We do not control these third-party services and are not responsible for their content, policies, or practices.

Your use of third-party websites or services is subject to their own terms and privacy policies.

You are solely responsible for reviewing and complying with those third-party terms.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and Services are provided “as is” and “as available”, without any warranties of any kind, whether express, implied, or statutory, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

Any warranties arising out of course of dealing or usage of trade;

Any warranty that the Site or Services will be uninterrupted, error-free, or secure.

We do not warrant or guarantee the accuracy, completeness, or timeliness of any information on the Site or provided as part of our Services. All use of such information is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law:

IT HUB and its owners, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, business opportunities, or data, arising out of or in connection with your use of the Site or Services.

Our total aggregate liability for any and all claims arising out of or relating to the Site, Services, or these Terms shall not exceed the total amount paid by you to IT HUB for the specific Services giving rise to the claim during the three (3) months preceding the event that gave rise to the claim.

Some jurisdictions do not allow limitations on certain types of damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the minimum extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless IT HUB, its owners, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Site or Services;

Your violation of these Terms or any applicable law or regulation;

Your infringement or violation of any third-party rights;

Any inaccurate or incomplete information you provide to us.

15. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

You agree that any dispute arising under or in connection with these Terms shall be brought exclusively in the state or federal courts located in California, and you hereby consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update or modify these Terms from time to time.

When we make changes, we will update the “Last updated” date at the top of this page.

In the case of material changes, we may also provide additional notice (for example, by email or by a prominent notice on the Site).

Your continued use of the Site or Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Site and Services.
